Terms of Service

These Terms of Service ("Terms") govern your use of the ReefBay mobile app, the Reef Tank ID app, the reefbay.com website and related services (together, the "Service") operated by ReefBay ("we", "us", "our"). By accessing or using the Service you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years old, or older if the law in your country sets a higher minimum age for using a service like ours, and if you are under 18 you must have your parent or guardian's permission. By using the Service you confirm that you meet these requirements and that you are legally able to enter into these Terms.

2. Your account

Accuracy: You must provide accurate and complete information when creating an account and keep it up to date.
Security: You are responsible for keeping your credentials confidential and for all activity under your account. Tell us immediately about any unauthorized use.
One person, one account: You may not share your account, create accounts for others or create multiple accounts to evade a suspension.
Suspension and termination: We may suspend or terminate your account at any time for violating these Terms, for conduct that harms other users or the Service, or for any other reason at our sole discretion, with or without notice.

3. Your content

License you grant us. By posting, uploading or otherwise submitting content to ReefBay, you grant ReefBay and its affiliates a worldwide, non-exclusive, royalty-free, transferable and sublicensable license to:

Responsibility: You are solely responsible for everything you post, upload or share through the Service, including images, videos, text, comments and messages.
Your promises: By uploading content you represent and warrant that you created it or have all rights, licenses and permissions needed to share it; that it does not infringe anyone's intellectual property, privacy or other rights; that you have the authority to grant the license below; and that it complies with applicable law and these Terms.

host, store, cache and maintain your content on our systems;
reproduce, copy and create derivative works from your content;
modify, adapt, edit, reformat, resize, crop, compress, transcode and translate your content for storage, display and delivery;
display, perform, distribute, transmit and publish your content publicly and privately;
use your content for machine learning training, artificial intelligence model development and inference, including species identification, image classification, content recommendation and other ML/AI applications;
use your content in search, discovery, recommendation and personalization features;
use your content across all current and future ReefBay products, services, platforms and applications;
sublicense these rights to service providers and partners as needed to operate and improve the Service; and
use your content for marketing, promotional and advertising purposes related to ReefBay.

This license lasts for as long as your content is hosted on the Service and continues perpetually for content that has been incorporated into ML models, training datasets, cached systems or derivative works, even after you delete the content or your account. Removing content from active display does not require us to remove it from ML models, training data or backups. To the extent permitted by law, you waive any moral rights in your content as far as necessary for us to exercise this license.

Feedback. If you send us ideas, suggestions or feedback, we may use them without any obligation to you.

4. Community rules

You agree not to post content or behave in a way that:

is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, hateful or invasive of another person's privacy;
infringes the intellectual property or other rights of others;
is spam, unsolicited advertising or commercial solicitation, unless you are an approved seller using the marketplace features;
impersonates any person or misrepresents your affiliation;
contains malicious code or interferes with the Service;
scrapes, harvests or collects data from the Service by automated means, or accesses the Service other than through the interfaces we provide;
attempts to reverse engineer, decompile or extract the source code, models or data of the Service; or
violates any applicable law or these Terms.

Moderation. We may review, remove, restrict or modify any content at our discretion and without notice, but we are not obligated to monitor all content. User content may be inaccurate, offensive or inappropriate, and you use it at your own risk. You can report content and block users in the app.

Copyright complaints. If you believe content on the Service infringes your copyright, email [email protected] with a description of the work, the location of the content, your contact details and a statement that you believe in good faith the use is not authorized. We respond to valid notices and terminate repeat infringers.

Backups. Content may remain in backups and, as described above, in ML models and training datasets after you delete it.

5. Marketplace

Platform only: ReefBay is a platform that connects buyers with independent sellers and vendors. Unless a listing clearly identifies ReefBay as the seller, we are not a party to the transaction, and the sales contract is between you and the seller.
No warranties: We make no representations or warranties about the quality, safety, legality, health or availability of items offered by third parties, or about the accuracy of listings.
Your transactions: You are responsible for your dealings with other users and sellers. We may, but are not obligated to, help resolve disputes between buyers and sellers.
Sellers: If you sell through the Service you must provide accurate listings, honor your stated shipping, live-arrival and refund policies, ship promptly, comply with Stripe's terms, and pay all taxes and fees that apply to your sales. You are responsible for collecting and remitting any sales tax, VAT or similar taxes where required.
Pricing and availability: Prices, availability and shipping options are set by sellers and may change. Orders may be cancelled if an item is unavailable, mispriced or cannot be shipped lawfully to your location.

6. Live animals

Corals, fish, invertebrates and other livestock may be offered through the Service. Because live animals involve particular risks and laws:

Sellers are solely responsible for the health of animals they ship, for humane packaging and shipping, and for complying with all laws that apply to collecting, keeping, selling and shipping them, including species protection laws (such as CITES), permit requirements and import and export rules.
Buyers are responsible for confirming that they may lawfully receive and keep the animals in their location, for being available to receive shipments and for acclimating animals properly.
Live-arrival guarantees, if any, are offered by the individual seller on the terms stated in the listing, not by ReefBay.
You may not list or sell any species that is protected, endangered or illegal to trade in the seller's or buyer's location.

7. AI features and no professional advice

Reef ID, Zoa ID, DeepDive, tank analysis, automatic translation and similar features use artificial intelligence. Their results may be incomplete, inaccurate or wrong, and species identifications are estimates. Information in the Service, whether generated by AI or posted by users, is provided for general information only and is not veterinary, medical, legal, financial or other professional advice. You are responsible for decisions you make about your animals, aquarium and purchases, and you should consult a qualified professional where appropriate.

Automatic translations are provided for convenience and may be inaccurate. The original text written by the user is the authoritative version.

8. Subscriptions, purchases and virtual items

Free and paid features: Some features are free and others require a subscription or one-time purchase.
Auto-renewal: Subscriptions bought through the Apple App Store or Google Play renew automatically at the end of each period unless you cancel at least 24 hours before renewal through your app store account settings. Free trials convert to paid subscriptions unless cancelled before the trial ends.
Refunds: Refunds for app store purchases are governed by the app store's policies. For purchases made directly from ReefBay, contact us; where consumer law gives you a right to cancel, that right is not affected by these Terms.
Price changes: We may change subscription prices with advance notice. Changes apply from your next renewal after the notice.
Credits and virtual items: Identification credits, Pearls and other virtual items have no cash value, cannot be transferred or exchanged for money, may expire and may be changed or discontinued at any time. Unused credits are forfeited when your account is closed.

9. Intellectual property

The Service, including its software, models, design, text, graphics, logos and trademarks, is owned by ReefBay or its licensors and protected by intellectual property laws. Except for the limited right to use the Service under these Terms, we grant you no rights in it. You may not copy, modify, distribute, sell, lease or create derivative works from any part of the Service without our written permission.

10. Third-party services and links

The Service may contain links to, or integrate with, third-party websites, apps and services (for example payment processors, shipping carriers, app stores and social sign-in providers). We do not control and are not responsible for them, and their own terms and privacy policies apply to your use of them.

11. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement and uninterrupted or error-free operation, to the maximum extent permitted by law. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

12. Limitation of liability

To the maximum extent permitted by law, ReefBay and its officers, directors, employees, contractors and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, data, goodwill or animals, arising out of or related to the Service, even if we have been advised of the possibility of such damages. Our total liability for all claims relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the claim or USD 100.

Nothing in these Terms limits liability that cannot be limited by law, including for death or personal injury caused by negligence, fraud, or the statutory rights of consumers in the European Union, United Kingdom, Brazil or elsewhere.

13. Indemnification

You agree to defend, indemnify and hold harmless ReefBay and its officers, directors, employees and agents from any claims, liabilities, damages, losses and expenses, including reasonable legal fees, arising out of or connected with your content, your use of the Service, your transactions with other users, or your violation of these Terms or of any law or third-party right.

14. Governing law and disputes

These Terms are governed by the laws of the state in which ReefBay is organized and the federal laws of the United States, without regard to conflict of law rules.

Arbitration. Any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its rules, rather than in court, except that either party may bring an individual claim in small claims court. You and ReefBay each waive the right to a jury trial and to participate in a class or representative action. You may opt out of this arbitration agreement by emailing [email protected] within 30 days of first accepting these Terms.

Consumers outside the United States. If you are a consumer in the European Union, United Kingdom, Brazil or another country whose law gives you mandatory protections, nothing in this section deprives you of those protections, and you may bring claims in the courts of your country of residence.

15. App store terms

If you downloaded the app from the Apple App Store or Google Play, the terms of that store also apply. Apple and Google are not responsible for the app or its content and have no obligation to provide support or maintenance for it. In the event of a conflict, the app store terms prevail regarding your relationship with that store.

16. Changes to these Terms

We may modify these Terms at any time. We will post the updated Terms on reefbay.com and in the app and update the "Last updated" date, and for material changes we will give you additional notice such as an email or in-app message. Your continued use of the Service after a change takes effect means you accept the new Terms.

17. General

Entire agreement: These Terms and the Privacy Policy are the entire agreement between you and ReefBay about the Service.
Severability: If any provision is found unenforceable, it will be limited to the minimum extent necessary and the rest of the Terms will remain in effect.
No waiver: Our failure to enforce a provision is not a waiver of our right to do so later.
Assignment: You may not transfer your rights under these Terms. We may assign them in connection with a merger, acquisition or sale of assets.
Language: These Terms are written in English. Translations are provided for convenience; if there is a conflict, the English version applies.
