These Terms of Service ("Terms") govern your use of the ReefBay mobile application and website (collectively, the "Service") operated by ReefBay ("we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these terms, then you may not access the Service.

1. Acceptance of Terms

By creating an account, downloading, installing, or using the ReefBay application, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and ReefBay.

2. Eligibility

You must be at least 13 years old to use the Service. If you are under 18, you must have your parent or guardian's permission to use the Service. By using the Service, you represent and warrant that you meet these age requirements.

3. User Accounts

Account Creation: To access certain features, you must create an account with accurate, complete, and current information.

Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Account Termination: We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion.

4. User Content and Conduct

Content Responsibility: You are solely responsible for all content you post, upload, or share through the Service, including images, videos, text, and comments.

Content Ownership and Representations: By uploading content to ReefBay, you represent and warrant that:

You are the original creator and owner of the content, or you have obtained all necessary rights, licenses, consents, and permissions to upload and share the content
The content does not infringe upon any third-party intellectual property rights, privacy rights, or other legal rights
You have the legal authority to grant the licenses described below
The content complies with all applicable laws and these Terms of Service

Comprehensive Content License: By posting, uploading, or otherwise submitting content to ReefBay, you grant ReefBay and its affiliates a worldwide, non-exclusive, royalty-free, perpetual (or for the duration that the content is hosted on our Service), transferable, and sublicensable license to:

Host, store, cache, and maintain your content on our servers and systems
Reproduce, copy, and create derivative works from your content
Modify, adapt, edit, reformat, resize, crop, compress, and transcode your content for optimization, storage, display, and delivery purposes
Display, perform, distribute, transmit, and publish your content publicly and privately
Use your content for machine learning (ML) training, artificial intelligence (AI) model development, and inference purposes, including but not limited to species identification, image classification, content recommendation systems, and other ML/AI applications
Use your content in search functionality, content discovery features, recommendation algorithms, and personalization systems
Use your content across all ReefBay products, services, platforms, and applications, including but not limited to the mobile app, website, future applications (such as Coral ID, species identification tools), API services, and any other current or future ReefBay offerings
Sublicense these rights to third-party service providers and partners as necessary to operate and improve the Service
Use your content for marketing, promotional, and advertising purposes related to ReefBay's services

This license exists for as long as your content is hosted on ReefBay and continues perpetually for content that has been incorporated into ML models, training datasets, cached systems, or derivative works, even after you delete your content or account. You acknowledge that removal of content from active display does not require ReefBay to remove content from ML models, training data, backups, or systems where the content has already been processed.

Prohibited Content: You agree not to post content that is:

Illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or invasive of privacy
Infringes on intellectual property rights of others
Contains spam, advertising, or commercial solicitation (unless you are an approved seller)
Misrepresents your identity or affiliation
Contains malicious code, viruses, or other harmful software
Violates any applicable laws or regulations
Contains content you do not have the right to upload or share

Content Moderation: We reserve the right to review, remove, or modify any content at our sole discretion without notice. However, we are not obligated to monitor or review all content, and you acknowledge that user-generated content may contain inaccurate, offensive, or inappropriate material.

Backup and Retention: You understand that ReefBay maintains backups of content for technical, operational, and legal purposes, and that content may remain in these backups even after deletion from active systems. Deleted content may also persist in ML models and training datasets.

5. Marketplace and Transactions

Third-Party Vendors: ReefBay serves as a platform connecting buyers and sellers. We are not a party to transactions between users and third-party vendors.

No Warranties: We make no representations or warranties about the quality, safety, legality, or availability of products or services offered by third parties.

Transaction Responsibility: You are solely responsible for your interactions and transactions with other users and third-party vendors.

6. Intellectual Property

The Service and its original content, features, and functionality are owned by ReefBay and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our express written permission.

7. Privacy

Your privacy is important to us. Please review our Privacy Policy, which also governs your use of the Service, to understand our practices regarding the collection and use of your information.

8. Subscription and Payments

Free and Paid Services: Some features of the Service may be available for free, while others may require payment or subscription.

Auto-Renewal: Subscriptions automatically renew unless canceled. You may cancel at any time through your device's app store settings.

Refunds: Refund policies are governed by the app store from which you purchased the subscription (Apple App Store or Google Play Store).

Price Changes: We reserve the right to modify subscription prices with advance notice.

9. Disclaimers and Limitation of Liability

Service "As Is": The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied.

No Liability: To the maximum extent permitted by law, ReefBay shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, or goodwill.

Limitation: In no event shall our total liability exceed the amount you paid to us in the twelve months preceding the claim.

10. Indemnification

You agree to defend, indemnify, and hold harmless ReefBay and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of the Service or violation of these Terms.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our sole discretion.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where ReefBay is incorporated, without regard to conflict of law provisions.

Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that you may bring claims in small claims court if they qualify.

13. App Store Compliance

If you download the app from the Apple App Store or Google Play Store, the terms of service of those platforms also apply to your use of the app.

In case of conflict between these Terms and the app store terms, the app store terms shall prevail regarding your relationship with the respective app store.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms in the app and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the new Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the Terms will otherwise remain in full force and effect.
